# Terms of Service

Welcome to States of Leisure. These Terms of Service ("Terms") govern your access to and use of the States of Leisure LLC website (the "Site") and any related services we provide. By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
These Terms are separate from the Rental Agreement that governs any reservation you make. The Rental Agreement governs your stay at any States of Leisure property. These Terms govern your use of the website itself.
## Who We Are
The Site is operated by States of Leisure LLC, a luxury short-term rental operator. Any reference to "we," "us," or "our" refers to States of Leisure LLC.

## Using Our Site
You may use the Site to browse property listings, request or make reservations, communicate with us about a stay, and access information about our services. In using the Site, you agree that:
- You are at least 18 years old, or accessing the Site with the supervision of a parent or legal guardian
- You will provide accurate and complete information when submitting inquiries or bookings
- You will not use the Site for any unlawful purpose or in violation of these Terms
- You will not attempt to disrupt, overload, or gain unauthorized access to the Site or its underlying systems
- You will not scrape, harvest, or collect information from the Site through automated means without our written permission
- You will not use the Site to distribute spam, malware, or otherwise harmful content
- You will not misrepresent your identity or affiliation with any person or entity
## Reservations and the Rental Agreement
When you make a reservation, whether directly through the Site or through a booking platform (Airbnb, VRBO), your reservation is governed by our separate Rental Agreement, which you will be asked to sign as part of the booking process. The Rental Agreement contains detailed provisions about payment, cancellation, refunds, house rules, damages, dispute resolution, and other important terms. You should read the Rental Agreement carefully before signing.

## Intellectual Property
All content on the Site, including text, photographs, graphics, logos, videos, and software, is owned by States of Leisure LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and download content for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any content on the Site without our prior written permission.
The "States of Leisure" name and logo are trademarks of States of Leisure LLC. You may not use them without our written permission.
## Third-Party Links and Services
The Site may contain links to third-party websites, including booking platforms, payment processors, and service providers. We are not responsible for the content, privacy practices, or terms of these third-party sites. Your interactions with third-party sites are governed by their own terms and privacy policies.
## Property Listings and Availability
We take reasonable steps to ensure that property information on the Site is accurate, but we do not guarantee that all descriptions, photographs, availability, or pricing are error-free or current at all times. Property availability is confirmed only when a reservation is booked and confirmed. Photographs are representative and actual property conditions may vary slightly.
States of Leisure LLC manages properties owned by third-party property owners as well as properties it owns directly. For managed properties, we rely in good faith on information supplied by the property owner, including information about ownership, authority to rent, size, amenities, permits, availability, and property condition. We conduct commercially reasonable due diligence on that information, but we do not independently verify every owner representation and we do not warrant the accuracy of information originating with a property owner that we could not reasonably have known to be inaccurate. Good-faith reliance on owner-supplied information is not fraud, intentional misrepresentation, or bad faith on our part. Where a listing error or availability conflict results from inaccurate or falsified owner-supplied information, the remedy available to a guest with a confirmed reservation is set out in the Rental Agreement.
Some properties may be listed in advance of completion of renovation, construction, or preparation ("Pipeline Properties"). Pipeline Properties are subject to additional terms in the Rental Agreement.
## Disclaimers
The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of content. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
## Limitation of Liability
This Section applies only to your use of the Site. It does not apply to any reservation, stay, or property. Liability arising from a reservation or a stay is governed exclusively by the Rental Agreement and its limitation of liability provisions.
To the fullest extent permitted by law, States of Leisure LLC, its members, managers, employees, contractors, and affiliates will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Site, even if we have been advised of the possibility of such damages. Our total liability for any claim arising solely out of your use of the Site is limited to $100.
This limitation does not apply to liability that cannot be limited under applicable law.
## Indemnification
You agree to defend, indemnify, and hold harmless States of Leisure LLC and its members, managers, employees, contractors, and affiliates from any claims, damages, costs, or attorneys' fees arising from your use of the Site in violation of these Terms or applicable law.
## Governing Law and Disputes
These Terms govern your use of the Site only. Any dispute arising solely out of your use of the Site, and not related to a reservation, is governed by the laws of the State of Tennessee, without regard to conflict of law principles, and will be resolved in the state or federal courts located in Davidson County, Tennessee. You consent to the personal jurisdiction of those courts for such disputes.
Reservation-related disputes are governed by the Rental Agreement, not by these Terms. If you have a reservation with us, any dispute relating to that reservation, the property, your stay, payment, refunds, cancellation, damages, or any Occupant's conduct is governed exclusively by the Rental Agreement, including its governing law, venue, and dispute resolution provisions (mandatory direct resolution, mediation, and binding individual arbitration). Under the Rental Agreement, the law of the state where the property is located governs, and venue is in the county where the property is located.
To the extent any provision of these Terms conflicts with the Rental Agreement with respect to a reservation, the Rental Agreement controls.
## Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and post the revised Terms on the Site. Your continued use of the Site after the changes take effect constitutes your acceptance of the revised Terms.
## Termination
We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including violation of these Terms. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
## Severability
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force and effect.
## Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and States of Leisure LLC regarding your use of the Site. Where you have a reservation, the Rental Agreement is the entire agreement between you and States of Leisure LLC regarding that reservation and controls over these Terms as to any reservation-related matter.
